Plain English summary: You hire me to build your project. I do the work in agreed milestones and you pay per milestone. When the project is complete and fully paid, you own 100% of everything I built. I don't ghost clients, I don't miss deadlines without notice, and I don't surprise you with extra charges.
By engaging Forge Studio (operated by Rupesh Shinde, India) for any project, service, or consultation, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not proceed with an engagement.
These terms apply to all services provided under the Forge Studio brand, including websites, mobile applications, web applications, custom software, and any related consulting.

Every engagement begins with a discovery call or written brief, followed by a formal written proposal. The proposal will include:
No work begins until both parties have agreed to the proposal in writing (email confirmation is acceptable). Any changes to scope after agreement must be discussed and agreed in writing before additional work is undertaken.
All projects are priced on a fixed-price, milestone basis. Payments are tied to the delivery of specific deliverables — never the full amount upfront.
Accepted payment methods: Bank transfer (NEFT/IMPS), Wise (formerly TransferWise), PayPal, Razorpay, or UPI. Payment method will be confirmed in the project proposal.
Late payments: If a milestone payment is more than 14 days overdue without prior communication, work on the project may be paused until payment is received.
Upon receipt of full and final payment for the project, all intellectual property rights — including source code, design assets, documentation, and any other deliverables created specifically for your project — are transferred entirely to you, the Client.
Third-party components: Projects may include open-source libraries, frameworks, or third-party APIs. These remain subject to their own licences, which will be listed in the project documentation.
Portfolio rights: Unless you specifically request otherwise in writing, Forge Studio reserves the right to display a description of the project type and technology stack in its portfolio (without disclosing confidential business details or identifying your company by name if covered by an NDA).
Each milestone includes a reasonable number of revisions (typically 2 rounds) within the agreed scope. Revisions are changes to existing deliverables — not new features or scope additions.
If you request changes that fall outside the agreed scope, I will provide a written estimate for the additional work before proceeding. No out-of-scope work will be undertaken without your written approval and agreement on additional cost.
To ensure timely delivery, the Client agrees to:
Delays caused by the Client (e.g. late feedback, late payment, delayed provision of materials) may result in revised project timelines. Forge Studio will not be held responsible for timeline delays that are directly attributable to the Client.
Any business information, ideas, technical details, or materials shared by the Client during the project will be treated as strictly confidential and will not be disclosed to any third party without the Client's prior written consent, except as required by law.
If a formal Non-Disclosure Agreement (NDA) is requested, one will be provided and signed before any project discussions begin. All collaborators involved in the project (if any) will be bound by the same confidentiality obligations.
Client cancellation: If you cancel a project after work has begun:
Forge Studio cancellation: In the unlikely event that I am unable to complete a project, I will notify you immediately, refund any payments made for uncompleted milestones in full, and deliver all work completed to date.
Forge Studio warrants that:
The Client warrants that they have the legal right to use any materials, content, logos, images, or other assets they provide for inclusion in the project.
Forge Studio's total liability to the Client for any claim arising from a project shall not exceed the total amount paid by the Client for that specific project.
Forge Studio is not liable for any indirect, incidental, special, or consequential damages — including loss of revenue, loss of data, or business interruption — even if advised of the possibility of such damages.
Forge Studio is not responsible for the performance or availability of third-party services, APIs, hosting platforms, or payment processors used in a project.
All projects include a free bug-fix support period after launch (duration specified in the project proposal). During this period, I will fix any bugs or defects in the delivered code at no additional cost.
Post-support maintenance, new features, or ongoing development beyond the support period can be arranged under a separate retainer or project agreement.
These Terms of Service are governed by the laws of India. Any disputes arising from an engagement will first be addressed through good-faith negotiation. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of Maharashtra, India.
I may update these terms occasionally. The "Last updated" date at the top of the page will reflect changes. Terms in effect at the time a project proposal is accepted will govern that specific engagement.
